A JOHNSONS CORPORATE ACQUISITION

Johnsons is pleased to announce the successful acquisition of a private, mid-sized Australian business by a strategic trade buyer. After facilitating a comprehensive, end-to-end acquisitions campaign, our client – Canon Business Services (CBS) – has purchased Satalyst for an undisclosed amount. Headquartered in NSW, CBS is a leader in business process outsourcing as well as providing clients with secure managed IT services, IT infrastructure and Cloud technologies. WA-based Satalyst, is one of Microsoft’s most experienced and tenured cloud and security solutions partners based in Australia.

The team at Johnsons were pleased to act as lead advisors to CBS’s executive team and would like to extend our congratulations to both the purchaser and the vendor.

In early 2021, CBS engaged Johnsons to assist in the execution of an acquisitions program. Targeting strategic industry sectors, the objective was to accelerate CBS’s growth goals by providing customers with adjacent / complimentary solutions, while reenforcing CBS’s leading market position.

Using custom research and running an anonymous marketing campaign, Johnsons identified various “off-market” acquisition opportunities. These parties were then thoroughly screened, resulting in a short-list of pre-qualified targets. After completing detailed company profiles and facilitating a series of management meetings, Johnsons assisted CBS in narrowing its focus to a preferred candidate, Satalyst. As a leading Microsoft cloud and security partner, Satalyst was an excellent strategic and technical fit with Canon Business Services ANZ. The acquisition strengthened CBS’s application, security, data and AI capabilities, while providing the Satalyst business with the backing needed to fast-track its expansion plans.

After facilitating a comprehensive, end-to-end acquisitions campaign, our client – ASI Solutions – has purchased Int Tec Solutions for an undisclosed amount. Headquartered in NSW, ASI is a leading IT managed services provider, servicing commercial customers across Australia’s eastern seaboard. From its base in the regional city of Mildura, Int Tec Solutions provides computer support services to businesses across northeast Victoria.

The team at Johnsons were pleased to act as lead advisors to ASI Solution’s directors and would like to extend our congratulations to both the purchaser and the vendor.

In late 2020, ASI engaged Johnsons Corporate to assist in the execution of a strategic acquisitions program, targeting IT product and services businesses operating in either Australia and/or New Zealand. Investment criteria included an established offering in IT services, managed services provision, and/or hardware sales; a portfolio of B2B customers; and an experienced team of technical staff.

Within 8 weeks Johnsons presented ASI’s board with a qualified, short-list of 33 targets. After further vetting, the directors prioritised Int Tec Solutions, recognising in it an established and well-reputed player with a complementary service offering that represented a good fit for its diversification objectives.

Johnsons is pleased to announce another successful acquisition of a private, mid-sized Australian business. After facilitating a comprehensive end-to-end research, qualification and negotiations process, our client – Paramount Safety Products – has acquired Pratt Safety Systems for an undisclosed amount. Paramount, the name behind Prochoice Safety Gear, is a leading national manufacturer and distributor of industrial personal protection equipment. Pratt supplies Australian industry with quality site safety and environmental protection products that stand up to the challenges of Australian conditions.

In 2015, Paramount’s board delivered a mandate to pursue growth and diversification through acquisition. The directors engaged Johnsons to undertake a strategic acquisitions campaign on their behalf, with instructions to identify a number of suitable, off-market targets and to manage negotiations through to a completed transaction.

The directors quickly prioritised Pratt Safety Systems, recognising in it an established and well-reputed player with a complementary product range that represented an ideal fit for its diversification objectives.
